1. Acceptance of Terms
Welcome to CloudFam. By utilizing the services provided by CloudFam Services, LLC (hereafter referred to as "CloudFam," "the Platform," "We," "Us," or "Our"), including our website at cloudfam.io, mobile applications, browser extensions, and all associated APIs, SDKs, and developer tools, you irrevocably signify your acceptance of these Terms of Service ("Agreement"). This document, together with our Privacy Policy, Cookie Policy, and any supplemental guidelines or product-specific terms published by CloudFam, constitutes the entire and exclusive legally binding contract between you (the "User," "Publisher," "Uploader," or "You") and CloudFam Services, LLC.
If you do not agree with any provision of these Terms, whether in whole or in part, you must immediately cease all use of CloudFam services, including but not limited to accessing the website, uploading or downloading files, interacting with the API, or collecting any earnings. Continued use of the platform in any capacity shall constitute your unconditional acceptance of the terms currently in effect.
We reserve the right, at our sole and absolute discretion, to modify, amend, update, or replace any part of these Terms at any time and without prior notice, except where legally required. Modifications that materially impact your rights or obligations will be communicated via a notice on your account dashboard, your registered email address, or via a platform-wide announcement. It is your sole responsibility to review these Terms periodically. Changes are effective immediately upon publication unless otherwise stated. Your continued use of the platform following any modifications constitutes your full and unconditional acceptance of the revised terms. If you object to any change, your only recourse is to discontinue use of the platform and close your account.
These Terms apply to all users globally, regardless of nationality, jurisdiction, or the means by which access to the platform is obtained. Users accessing CloudFam from regions where the services, or any part thereof, are restricted by local law do so at their own risk and are solely responsible for compliance with all applicable local, national, and international laws and regulations.
1.1 Relationship of the Parties
Your relationship with CloudFam is that of an independent contractor and a service recipient. Nothing in these Terms shall be construed to create any partnership, joint venture, employment, franchise, or agency relationship between you and CloudFam. You have no authority to make representations or incur any obligation on behalf of CloudFam.
1.2 Severability
If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, unenforceable, or contrary to applicable law, that specific provision shall be severed from this Agreement and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. CloudFam may replace the severed provision with a valid one that most closely mirrors the original intent.
2. User Account & Eligibility
2.1 Registration and Capacity
To access the full suite of monetization, storage, and distribution features provided by CloudFam, you are required to create a personal account ("Account"). During the registration process, you represent and warrant that all information provided — including your full legal name, email address, country of residence, and payment details — is accurate, truthful, current, and complete at the time of submission. You further agree to maintain and promptly update this information to ensure it remains accurate and complete throughout the duration of your engagement with the platform.
You must be at least 18 years of age, or the age of legal majority in your applicable jurisdiction, whichever is higher, to register for and hold a CloudFam account. Use of the service by minors is strictly and absolutely prohibited. By creating an account, you represent that you meet this minimum age requirement. If CloudFam discovers that an account is operated by or on behalf of a minor, the account will be immediately and permanently terminated and all associated earnings will be forfeited.
Furthermore, you represent that you are not a person barred from receiving services under the laws of the United States or any other applicable jurisdiction, and that you have not been previously suspended or removed from the CloudFam platform for violations of these Terms or any other CloudFam policy.
2.2 Account Ownership and Security
CloudFam operates on a strict single-account-per-user policy. Each individual user is permitted to maintain only one (1) active account at any given time. The creation of duplicate, "clone," shadow, or multi-accounts — whether using different email addresses, payment methods, IP addresses, devices, or geographic locations — for the purpose of circumventing platform usage limits, inflating referral metrics, manipulating PPD earnings tiers, or exploiting any other aspect of the platform is a severe violation of these Terms and will result in the permanent termination of all associated accounts and the forfeiture of all accrued balances.
You are solely responsible for maintaining the strict confidentiality of your account credentials, including your username, password, and any two-factor authentication (2FA) codes. You agree to immediately notify CloudFam at support@cloudfam.io if you become aware of any unauthorized use of your account or any other security breach. CloudFam will not be liable for any loss or damage arising from your failure to comply with this security obligation. We strongly recommend the use of a unique, complex password and the activation of multi-factor authentication (MFA/2FA) to protect your account balance, personal data, and uploaded content catalog.
Account credentials are non-transferable. You may not sell, trade, gift, or otherwise transfer your account to any third party. Any attempt to do so will result in immediate account suspension pending investigation.
2.3 Account Verification
CloudFam reserves the right to require identity verification at any point during your use of the platform, particularly prior to processing withdrawal requests that exceed certain thresholds, or when anomalous account activity is detected. Verification may include submission of a government-issued photo identification document, a recent utility bill or bank statement for proof of address, or completion of a video selfie verification through our designated identity verification partner. Failure to complete the verification process within the stipulated timeframe may result in temporary suspension of withdrawal privileges or, in cases of persistent non-compliance, permanent account termination.
2.4 Instant Access
CloudFam provides near-instant access to its core file hosting and distribution tools following successful registration. While we do not impose a mandatory pre-approval delay for standard account features, CloudFam employs sophisticated real-time automated behavioral monitoring systems to ensure ongoing compliance with international security standards, anti-fraud directives, and the terms outlined in this Agreement. Access to advanced monetization tiers and higher withdrawal limits may be subject to account age and traffic history requirements.
3. Cloud Hosting & Storage Services
Core Infrastructure Standards:
CloudFam provides its users with 790 GB of high-speed cloud storage. Our infrastructure is distributed across premium global data centers to ensure minimum latency and 99.9% availability for your shared files.
Users are granted a limited, non-exclusive, non-transferable, revocable right to use CloudFam's cloud storage infrastructure solely for the purposes of lawful content distribution through the platform. This license does not include the right to sublicense the storage capacity to third parties, use the infrastructure as a dedicated backup solution for irreplaceable personal or business-critical data, or host content that violates any provision of this Agreement or applicable law.
CloudFam is a content distribution platform and explicitly disclaims any role as a primary or permanent archival system. While we take data integrity seriously, you are strongly advised to maintain independent, redundant backups of all content you upload. CloudFam shall not be held liable for any data loss resulting from hardware failure, software bugs, force majeure events, or the enforcement of content retention policies described herein.
3.1 Infrastructure and Uptime
CloudFam's infrastructure is hosted across geographically distributed Tier-3 and Tier-4 data centers strategically located across North America, Europe, and Asia-Pacific to optimize global delivery speeds and minimize single points of failure. We employ industry-standard encryption protocols including TLS 1.3 for all data in transit, redundant storage layers with automated failover mechanisms, and Content Delivery Network (CDN) acceleration for high-speed download delivery to end-users worldwide. Our target Service Level Objective (SLO) is 99.9% monthly uptime for the core file delivery infrastructure, excluding planned maintenance windows, which will be communicated in advance via the platform status page at status.cloudfam.io.
Scheduled maintenance is typically performed during low-traffic windows and will be announced at least 24 hours in advance. Emergency maintenance, required to address critical security vulnerabilities or infrastructure failures, may be performed without advance notice. CloudFam does not provide any Service Level Agreement (SLA) with financial remedies for downtime to free-tier accounts.
3.2 Storage Limits and Fair Use
Each registered CloudFam account is allocated up to 790 GB of total cloud storage. This allocation is provided to support active content distribution activities and is not intended as a perpetual archive. CloudFam reserves the right to implement fair-use policies that may affect accounts found to be consuming disproportionate storage resources relative to their download activity, hosting a large number of dormant files, or otherwise not actively participating in the distribution ecosystem. Users who require storage in excess of the standard allocation may contact our enterprise team at enterprise@cloudfam.io to discuss custom storage plans.
CloudFam reserves the right to adjust storage allocation policies, including maximum per-account limits, at any time. Affected users will be notified with a reasonable transition period to manage their content catalog accordingly.
3.3 File Size and Format Restrictions
Individual file uploads are subject to a maximum size limit as communicated in the platform dashboard, which may vary based on account tier. CloudFam supports a wide range of file formats, including but not limited to documents, archives, software, media files, and educational materials. Certain file extensions commonly associated with malicious software may be blacklisted at our discretion. CloudFam scans all uploaded files using multiple anti-malware engines upon upload and reserves the right to quarantine or permanently delete any file flagged as harmful, regardless of uploader intent.
4. Monetization (PPD) Model
The Pay Per Download (PPD) revenue-sharing system is the cornerstone of CloudFam's publisher ecosystem, designed to reward content creators and distributors for generating high-quality, authentic, human-engaged traffic to files hosted on the platform. By uploading files to CloudFam and electing to participate in the monetization program, you agree to be bound by all policies governing the PPD system, including the traffic validation rules, CPM tiering, and payment policies described in this Agreement and any supplemental rate card documents published on the platform.
4.1 Tiered CPM Structure
CloudFam categorizes all global incoming traffic into four (4) distinct geographic tiers. These tiers reflect the relative economic value, advertiser demand, and revenue-generating potential of end-users based on their country of origin as determined by IP geolocation. The tiers are structured as follows:
- Tier 1 (Premium Markets): Comprising high-value markets such as the United States, United Kingdom, Canada, Australia, and Western European nations. Downloads from Tier 1 regions command the highest CPM rates on the network due to elevated advertiser spend and premium ad inventory demand.
- Tier 2 (Developing Markets): Includes Eastern European nations, select Latin American countries, and parts of the Middle East. These regions offer competitive mid-range CPM rates reflecting moderate advertiser demand.
- Tier 3 (Emerging Markets): Comprises rapidly growing markets in South and Southeast Asia, including India, Pakistan, Bangladesh, and parts of Sub-Saharan Africa. CPM rates for this tier reflect the high volume and growing but still developing advertiser ecosystems in these regions.
- Tier 4 (Low-Value Traffic): Encompasses all remaining geographic regions where advertiser demand is minimal. While downloads are still counted, Tier 4 CPMs are significantly lower. Traffic primarily from anonymizing services (VPNs, proxies) that masks the true origin country will also typically be classified under this tier or rejected entirely by our validation systems.
Current CPM rates for each tier are published on your publisher dashboard and are subject to change. CloudFam reserves the right to reclassify countries between tiers at any time based on real-time market conditions.
4.2 Unique Download Calculation
Earnings are credited based on validated "Unique Downloads." A download event is classified as unique and eligible for earnings credit when it meets all of the following criteria: it is initiated by a distinct, non-datacenter, non-proxy IP address; the same IP address has not previously initiated a download for the same file within the preceding 24-hour rolling window; the download session is completed successfully, meaning the end-user has navigated through the required interstitial verification steps and the file transfer has been initiated; and the traffic passes all checks within our multi-layered fraud detection engine.
CloudFam does not guarantee that every download recorded in raw server logs will translate into an earnings credit. Only downloads that pass the complete validation pipeline are eligible. The ratio of raw downloads to credited unique downloads is a normal and expected function of our traffic quality systems.
4.3 Session Completion Requirements
A credit is only finalized and added to your account balance when the end-user successfully and authentically completes the verification and redirection workflow required to access the destination file. Partial sessions, abandoned sessions, sessions completed by automated scripts or headless browsers, and sessions where the user navigates away prior to file transfer initiation will not be credited. CloudFam's systems continuously monitor session quality signals including dwell time, interaction patterns, and device fingerprinting to distinguish genuine users from automated traffic.
4.4 Rate Adjustments and Market Conditions
CloudFam reserves the right to adjust CPM rates dynamically and without prior notice based on a range of factors, including but not limited to: prevailing market conditions in the programmatic advertising industry; seasonal fluctuations in advertiser budgets (e.g., Q4 premium rates vs. Q1 lower rates); changes in the overall volume and quality of traffic flowing through the network; costs associated with platform infrastructure, anti-fraud technology, and compliance; and any other commercial factors at the sole discretion of CloudFam. Publishers are encouraged to monitor the rates displayed on their real-time dashboard for the most current applicable rates.
5. Traffic Validation Rules
The integrity of CloudFam's advertising partnerships and the long-term sustainability of our high payout rates are entirely dependent on the consistent delivery of legitimate, human-generated traffic to our advertising partners. To protect this ecosystem, all incoming download requests are subjected to a rigorous, multi-layered, real-time validation pipeline before any earnings credit is applied to a publisher's account.
5.1 Validation Pipeline Overview
Our proprietary traffic validation infrastructure processes each download event through a sequential series of checks that collectively determine its legitimacy and commercial value. These checks include, but are not limited to:
- IP Reputation Analysis: Each requesting IP address is cross-referenced against multiple real-time threat intelligence databases and our own proprietary blocklist compiled from years of network data. IP addresses associated with known data centers, commercial VPN providers, residential proxy networks, Tor exit nodes, and botnet command-and-control infrastructure are automatically rejected.
- Device Fingerprinting: Our system collects and analyzes a composite fingerprint of each requesting client, including browser type and version, operating system, screen resolution, installed fonts, WebGL renderer, and other device attributes. Traffic from headless browsers, known scraping frameworks (e.g., Puppeteer, Selenium), and non-standard automated clients is flagged and excluded.
- Behavioral Analysis: Machine learning models trained on hundreds of millions of historical download sessions analyze session-level behavioral signals to distinguish genuine human users from automated or incentivized traffic. Signals analyzed include time-on-page, mouse movement patterns, scroll behavior, interaction timing, and session depth.
- Referral Source Verification: The HTTP referrer header and UTM parameters associated with each session are analyzed to determine the traffic's originating source. Traffic from approved, high-quality referral sources (e.g., social media platforms, content blogs, search engine organic results) is given additional positive weighting. Traffic arriving with no referrer or from known low-quality traffic exchanges is subject to stricter scrutiny.
- Duplicate and Velocity Checks: The system enforces the 24-hour unique IP window on a per-file basis and also monitors for abnormal velocity patterns, such as sudden spikes in download counts that deviate significantly from a file's established historical baseline, which are indicative of coordinated artificial traffic campaigns.
5.2 Consequences of Invalid Traffic
Traffic identified as invalid through any of the above mechanisms will not receive earnings credit. Furthermore, sustained or deliberate generation of invalid traffic constitutes fraud against CloudFam and our advertising partners and will result in escalating consequences, up to and including permanent account termination and forfeiture of all accrued earnings, as outlined in Section 14 of this Agreement. CloudFam's determination of traffic validity is final and non-appealable except through formal dispute resolution as described herein.
5.3 Publisher Responsibility
As a publisher, you are solely and fully responsible for the quality of traffic you direct to your CloudFam-hosted files. You are obligated to ensure that your promotional methods comply with this Agreement and that you do not knowingly or unknowingly purchase, direct, or facilitate the delivery of invalid traffic to your files. Ignorance of the source or quality of traffic generated through third-party promotional services you have engaged is not a valid defense against enforcement actions. If you believe invalid traffic is being generated by a third party targeting your account maliciously, you must report this to CloudFam support immediately.
6. Referral Commission System
The CloudFam Publisher Referral Program is a lifetime incentive initiative designed to grow our publisher network organically by rewarding existing publishers who introduce new, productive members to the ecosystem. Participation in the Referral Program is subject to the terms outlined herein and may be modified, suspended, or terminated by CloudFam at any time with reasonable notice.
6.1 Commission Structure
By sharing your unique referral link or referral ID with prospective publishers, you become eligible to earn a 5% lifetime commission calculated on the gross PPD earnings generated by each user who creates a new CloudFam account through your referral. This commission represents an additional earning layer paid directly by the platform from its own revenue share and does not, under any circumstances, reduce or deduct from the earnings of the referred publisher. Both the referrer and the referred publisher benefit independently and in full from their respective activities on the platform.
Commission payments are calculated on a per-payment-cycle basis, aligned with the referred publisher's earnings activity. Commissions for a given period are only credited to your account once the referred user's earnings for that period have been confirmed and validated. There is no cap on the total lifetime commission you may earn through the referral program, provided the referral activity and your account remain in good standing.
6.2 Referral Fraud and Abuse
CloudFam actively audits all referral chains to identify and eliminate fraudulent self-referral behavior, circular referral networks, and any other manipulation of the referral system. Prohibited activities include, but are not limited to: creating additional accounts using your own referral link (self-referral); coordinating with other users to create artificial referral chains where commissions are recycled within a closed group; incentivizing referrals through cash payments, gift exchanges, or material rewards outside the platform's official referral commission; and any other activity designed to generate referral commissions without delivering genuine new publisher value to the network.
Any referral commission earnings identified as fraudulent will be reversed, and the accounts involved will be subject to immediate termination and full earnings forfeiture. CloudFam employs graph analysis and machine learning techniques to continuously monitor the referral network for anomalous patterns.
6.3 Eligibility and Qualifying Referrals
A referral is considered valid and eligible for commission only when the referred user: creates a new account that did not previously exist on the platform; registers using your specific referral link or enters your referral code during the registration process; verifies their email address and completes the account setup; and generates validated PPD earnings during their active use of the platform. Referrals that result in accounts which are subsequently terminated for Terms violations will have associated commissions reversed.
7. Withdrawal & Financial Policies
Payout Prerequisites:
- Minimum Threshold: Users may request a withdrawal once their balance meets or exceeds $10.00 USD.
- Processing Timeline: Funds are typically disbursed within 1 to 3 business days from the date of the request.
- Supported Channels: We currently facilitate payments via UPI, Indian Bank Transfer, USDT (Tether), and Bitcoin (BTC).
7.1 Payment Request Process
To initiate a withdrawal, eligible publishers must navigate to the "Withdraw" section of their account dashboard, select their preferred payment method, provide accurate and complete payment details, and submit the request. By submitting a withdrawal request, you certify that the payment details provided are accurate, belong to you (or a legal entity you are authorized to represent), and that the earnings being withdrawn were generated in full compliance with these Terms. CloudFam is not responsible for funds transferred to incorrectly provided wallet addresses, bank account numbers, or UPI IDs. All such errors are the sole responsibility of the publisher, and no reissuance of funds will be made.
CloudFam processes withdrawal requests on business days (Monday through Friday, excluding US public holidays). Requests submitted on weekends or public holidays will begin processing on the next available business day. While our standard processing target is 1 to 3 business days, complex or high-value withdrawals that require additional manual review may take up to 7 business days. CloudFam will communicate any extended processing timelines to the affected publisher via email.
7.2 Transaction Fees
CloudFam does not currently charge an internal processing fee for standard withdrawal requests. However, applicable network fees for cryptocurrency transactions (e.g., Bitcoin miner fees or USDT/TRC-20 network fees) will be deducted from the withdrawal amount. For bank transfers, applicable SWIFT or intermediary bank fees may apply for international transactions and will be reflected in the final received amount. CloudFam will make reasonable efforts to communicate applicable fee structures on the withdrawal page prior to confirmation.
7.3 Tax Obligations
You are solely and exclusively responsible for determining, reporting, and remitting all applicable taxes on earnings received from CloudFam in your relevant jurisdiction. This includes, without limitation, income tax, self-employment tax, VAT, GST, and any other applicable local, state, or national taxes. CloudFam does not withhold taxes on behalf of publishers unless required to do so by applicable law. For publishers based in certain jurisdictions, CloudFam may be required to collect tax identification information (e.g., PAN card for Indian publishers, W-8/W-9 forms for US-connected publishers). Failure to provide required tax documentation may delay or suspend withdrawal processing. CloudFam recommends consulting a qualified tax professional to understand your specific obligations.
7.4 Fraud Review and Holds
For security purposes and in compliance with anti-money-laundering (AML) best practices, CloudFam reserves the right to place a temporary hold on withdrawal requests that trigger our fraud detection systems. Common triggers include first-time withdrawals from new accounts, unusually large withdrawal amounts relative to account history, sudden spikes in earning activity preceding a withdrawal request, mismatches between account information and payment details, or requests originating from flagged IP addresses. Manual review holds may extend the processing timeline by up to 48 hours. In cases where fraud is confirmed, the withdrawal will be canceled and the account will be subject to the enforcement actions described in Section 14.
8. Content Retention & Data Management
Maintaining a high-performance, cost-effective, and well-organized infrastructure requires disciplined data lifecycle management. Files hosted on CloudFam are subject to the following retention policy, which is designed to ensure that our storage resources are efficiently allocated to actively used content while maintaining sufficient protections for valuable long-form materials.
- Standard Retention Policy: Files that receive zero (0) confirmed download activity for a continuous, uninterrupted 60-day window are automatically flagged by our data lifecycle management system for scheduled removal. Publishers will receive an automated notification to their registered email address 7 days prior to the scheduled deletion of any inactive file, providing an opportunity to download a personal copy before removal.
- The E-Book and Educational Materials Exemption: Certified e-books, digital literary works, academic papers, research documents, and other formally recognized educational materials are permanently exempt from inactivity-based deletion and will remain hosted on the CloudFam platform indefinitely, provided they remain in continuous compliance with our Content Policies (Section 9), DMCA obligations (Section 11), and all other applicable terms of this Agreement. CloudFam reserves the right to define and update the criteria for content qualifying under this exemption.
- Premium Account Retention: Publishers subscribed to eligible premium account tiers may receive extended inactivity periods before files are flagged for removal. Specific retention windows for premium tiers are published in the account plans comparison section of the platform.
- Voluntary Deletion: Publishers retain full autonomy over their hosted content catalog and may permanently delete individual files or entire folders at any time through the account dashboard or via API calls. Voluntary deletions are irreversible. CloudFam does not maintain recoverable archives of voluntarily deleted files beyond a 7-day grace period, after which the content is permanently purged from all storage layers and CDN caches.
- Compliance-Based Deletion: Files removed pursuant to a valid DMCA takedown notice, a court order, or an internal CloudFam policy enforcement action will be permanently deleted without prior notice and without the grace period described above. CloudFam is not obligated to retain such content or provide the uploader with a copy.
CloudFam makes no warranty that files will be retained for any specific period beyond the policies described herein. Publishers are strongly advised to maintain independent, secure backups of all content they consider irreplaceable, as CloudFam is not a designated long-term archival service.
9. Prohibited Content & Safety
The safety of our end-users, the legal integrity of our platform, and our moral responsibility to society are foundational to CloudFam's operations. We maintain an absolute zero-tolerance policy toward all forms of content that cause harm, facilitate illegal activity, or violate the dignity of any individual. CloudFam strictly and permanently forbids the hosting, uploading, distribution, or linking of the following categories of content:
- Child Sexual Abuse Material (CSAM) and Minor Exploitation Content: Any depiction, illustration, or simulation of sexual acts involving minors is categorically and unconditionally prohibited. CloudFam reports all discovered CSAM to the National Center for Missing and Exploited Children (NCMEC) and cooperates fully with law enforcement investigations. Perpetrators will be reported to the appropriate authorities without exception.
- Non-Consensual Intimate Imagery (NCII): The distribution of intimate, sexual, or nude images and videos of any individual without their verified, documented, and freely given consent is strictly prohibited. This includes so-called "revenge pornography" and any AI-generated or deepfake content that depicts a real, identifiable individual in a sexual or intimate context without their consent.
- Terrorism and Violent Extremism: Content that promotes, glorifies, facilitates, or recruits for acts of terrorism, genocide, mass violence, or violent extremism by any individual, group, or ideology is absolutely prohibited. This includes propaganda materials, manifestos, and instructional content.
- Malicious and Harmful Software: Any file containing, linking to, or facilitating the distribution of computer viruses, worms, trojans, ransomware, spyware, adware, keyloggers, rootkits, exploits, or any other form of malicious code designed to damage, interfere with, or gain unauthorized access to computer systems or user data is strictly prohibited.
- Fraudulent and Deceptive Materials: Files designed to deceive users, including but not limited to: phishing kits and credential-harvesting pages; fake software license key generators ("keygens") that contain hidden malware; fraudulent financial instruments; and materials designed to impersonate legitimate brands, institutions, or government entities for deceptive purposes.
- Hate Speech and Discriminatory Content: Content that dehumanizes, threatens, or incites violence against individuals or groups based on characteristics such as race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected attributes is prohibited.
- Illegal Content in Any Applicable Jurisdiction: Any content that is illegal to possess, distribute, or access under the laws of the United States or the user's country of residence, including pirated commercial software beyond the scope of the DMCA provisions herein, controlled substances marketing, and illegal firearms or weapon modification instructions.
CloudFam employs automated content scanning technologies in combination with a human Trust and Safety review team to proactively identify and remove prohibited content. Users who discover prohibited content on the platform are encouraged and expected to report it immediately via the in-platform reporting mechanism or at safety@cloudfam.io.
10. Intellectual Property Rights
CloudFam deeply respects intellectual property rights and expects the same of all publishers and users on our platform. The intellectual property provisions of this Agreement are intended to clearly define the rights retained by publishers, the limited license granted to CloudFam, and the protections afforded to CloudFam's own proprietary assets.
10.1 Publisher Content Ownership
When you upload content to CloudFam, you retain all original ownership rights, title, and interest in and to that content, including all applicable copyrights, trademarks, trade secrets, and other intellectual property rights. CloudFam makes no claim of ownership over any content uploaded by publishers. Your content remains yours.
However, to operate our distribution network effectively and deliver content to end-users worldwide, you grant CloudFam a limited, worldwide, royalty-free, non-exclusive, sublicensable (to CDN providers and hosting partners only) license to host, store, cache, reproduce, process, adapt (as necessary for technical delivery), transmit, and publicly display or perform your content solely for the purpose of fulfilling your content sharing and distribution requests through the platform. This license is granted only for the duration of your use of CloudFam services and automatically terminates upon your deletion of the content or the closure of your account.
10.2 Publisher Representations Regarding Uploaded Content
By uploading any content to CloudFam, you represent and warrant that: you are the original creator of the content and own all necessary intellectual property rights, or you have obtained all necessary licenses, permissions, releases, and consents from the rightful intellectual property owners to upload and distribute the content through our platform; the upload and distribution of your content through CloudFam does not and will not infringe any third party's copyright, patent, trademark, trade secret, moral rights, right of publicity, right of privacy, or any other intellectual property or proprietary rights; and you have obtained any required model releases or other consents for any identifiable individuals depicted in your content.
10.3 CloudFam's Proprietary Assets
CloudFam's own assets — including but not limited to the CloudFam brand name, logo, trade dress, taglines, the cloudfam.io domain name, the proprietary software and code underlying the platform, the user interface and user experience design, data architectures, algorithms, and all associated documentation — are the exclusive intellectual property of CloudFam Services, LLC and are protected by applicable United States and international trademark, copyright, trade secret, and patent laws. No use of any CloudFam trademark, logo, or other proprietary asset may be made without the prior written authorization of CloudFam, except as required for nominative fair-use purposes such as accurately identifying the platform in editorial contexts.
11. DMCA & Copyright Compliance
CloudFam is committed to complying with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, and all other applicable copyright laws. We respect the intellectual property of creators and expect our publishers to do the same. We have implemented a comprehensive DMCA compliance program that includes a designated agent for receiving infringement notifications, a defined process for responding to valid takedown notices, and a counter-notification procedure for publishers who believe their content has been removed erroneously.
11.1 Submitting a DMCA Takedown Notice
If you are a copyright owner or an authorized agent thereof, and you believe that content hosted on CloudFam infringes upon your copyrighted work, you may submit a formal DMCA takedown notice to our designated copyright agent. To be valid and actionable, your notice must include the following elements as required under 17 U.S.C. § 512(c)(3):
- A physical or electronic signature of the copyright owner or a person authorized to act on behalf of the owner.
- Identification of the copyrighted work claimed to have been infringed, or if multiple works are covered by a single notification, a representative list of such works.
- Identification of the specific material that is claimed to be infringing and information reasonably sufficient to permit CloudFam to locate the material on the platform (e.g., a direct URL to the file page).
- Your contact information, including address, telephone number, and email address.
- A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or applicable law.
- A statement, made under penalty of perjury, that the information in the notification is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner.

Please be aware that knowingly submitting a materially false DMCA notification may expose you to civil liability under 17 U.S.C. § 512(f) for damages, including costs and attorneys' fees.
11.2 Counter-Notification Procedure
If you believe that content you uploaded was removed or disabled as a result of a mistake or misidentification by the complaining party, you may submit a counter-notification to dmca@cloudfam.io. A valid counter-notification must include: your physical or electronic signature; identification of the removed material and the location at which it appeared before removal; a statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification; and your name, address, telephone number, email, and a statement consenting to jurisdiction. Upon receipt of a valid counter-notification, CloudFam will follow the DMCA process, which may result in the restoration of the content after a standard waiting period.
11.3 Repeat Infringer Policy
In accordance with the DMCA, CloudFam maintains a policy of terminating the accounts of users who are found to be repeat infringers of third-party intellectual property rights. A publisher whose account accumulates three (3) or more valid, uncontested DMCA strikes within any rolling 12-month period will have their account permanently suspended and their entire content catalog removed from the platform.
12. Developer API & Automation
CloudFam provides a comprehensive, well-documented Application Programming Interface (API) that enables developers, power users, and integration partners to programmatically interact with the CloudFam platform. This includes capabilities for automated file uploads, remote file management, real-time statistics retrieval, and the creation of custom integration workflows. Use of the CloudFam API is a privilege extended to publishers in good standing and is subject to all terms of this Agreement as well as the specific API Developer Guidelines published at cloudfam.io/developers.
12.1 API Authentication
All API requests must be authenticated using a valid API key issued exclusively to your CloudFam account. API keys are confidential credentials and must be treated with the same level of security as your account password. You must not expose your API key in publicly accessible code repositories, client-side web applications, or any other environment where it could be discovered by unauthorized parties. CloudFam is not responsible for any unauthorized use of your API key resulting from your failure to maintain its confidentiality. You may regenerate your API key at any time from your account dashboard, which will immediately invalidate the previous key.
12.2 Rate Limits and Fair Use
To ensure platform stability, equitable resource distribution, and protection against abuse, all API access is subject to rate limits. Standard API rate limits are published in the developer documentation and may vary based on your account tier. Exceeding rate limits will result in temporary request throttling as indicated by standard HTTP 429 (Too Many Requests) response codes. Persistent, deliberate, or automated circumvention of rate limits is prohibited and will result in API access revocation and potential account suspension.
12.3 Prohibited API Activities
The CloudFam API may not be used to engage in the following prohibited activities, regardless of stated purpose or intent:
- Brute-force enumeration or systematic scanning of file IDs to discover or access content uploaded by other users without authorization.
- Automated scraping of publisher dashboards, earnings data, user listings, or any other platform data not explicitly made available through documented API endpoints.
- Conducting automated tests, load tests, or stress tests against production API infrastructure without prior written consent from CloudFam's engineering team.
- Using the API to generate, simulate, or route artificial traffic to hosted files for the purpose of fraudulently inflating PPD earnings.
- Building applications that facilitate or automate any activity otherwise prohibited by this Agreement.
Full technical documentation, including endpoint specifications, request/response schemas, code examples in multiple languages, and SDK libraries, is maintained and continuously updated at cloudfam.io/developers. Developer support inquiries may be directed to api-support@cloudfam.io.
13. Prohibited Conduct
The following activities, in addition to those described elsewhere in this Agreement, constitute a material and serious breach of this Agreement. Upon discovery of any of these violations, CloudFam reserves the right to take immediate enforcement action, up to and including permanent account termination and forfeiture of all accrued earnings, as more fully described in Section 14. In cases involving criminal activity, CloudFam will cooperate fully with law enforcement authorities.
- Platform Security Attacks: Any attempt to hack, probe, penetrate, disrupt, or circumvent the security systems of CloudFam's servers, networks, databases, or related infrastructure. This includes, without limitation, SQL injection, cross-site scripting (XSS), cross-site request forgery (CSRF), server-side request forgery (SSRF), unauthorized exploitation of vulnerabilities, and distributed denial-of-service (DDoS) attacks. Responsible disclosure of genuine security vulnerabilities through our dedicated security@cloudfam.io channel is welcomed and encouraged.
- Artificial Traffic Generation: Generating, purchasing, directing, or facilitating any form of artificial or non-human traffic to CloudFam-hosted files, including but not limited to: automated bot traffic; VPS/server-based click farms; VPN or proxy rotation schemes designed to simulate multiple unique users; frame-injection or iframe embedding tricks; pop-under or forced redirect traffic; and any paid traffic from sources known to deliver non-human or incentivized clicks.
- Deceptive File Practices: Providing intentionally misleading, false, or deceptive titles, descriptions, thumbnails, or metadata for files hosted on the platform in order to manipulate users into initiating downloads under false pretenses ("bait-and-switch" schemes). This includes falsely labeling files as premium software, movies, games, or other desirable content when the actual file differs materially from the stated description.
- Platform Manipulation and Interference: Any deliberate attempt to interfere with the normal operation of the platform, including reverse engineering proprietary systems, submitting automated support tickets at scale, attempting to manipulate dashboard statistics, or interfering with other publishers' accounts or files.
- Staff Harassment and Abuse: Engaging in harassing, threatening, abusive, defamatory, or otherwise inappropriate communications toward CloudFam employees, contractors, support staff, or moderation team members, whether through the platform's support channels, email, social media, or any other medium.
- Unauthorized Commercialization: Reselling, sublicensing, or otherwise commercializing access to CloudFam's platform, storage, or bandwidth to third parties without explicit prior written authorization from CloudFam.
14. Termination & Limitation of Liability
14.1 Termination by CloudFam
CloudFam reserves the absolute right to suspend, restrict, or permanently terminate your account and revoke all access to the platform's services at any time, with or without cause, and with or without notice, except where prior notice is required by applicable law. Grounds for termination include, but are not limited to: any violation of this Agreement or any supplemental policy; suspected or confirmed engagement in fraudulent traffic generation; submission of prohibited content; violation of applicable laws or third-party rights; abuse of staff or the support system; failure to complete required identity verification; or any activity that, in CloudFam's sole judgment, poses a risk to the platform, its users, its advertising partners, or its legal standing.
In the event of termination for cause — particularly for violations related to fraudulent traffic generation, earnings manipulation, or any form of financial fraud against the platform — all accrued but unpaid earnings in the affected account will be immediately and irrevocably forfeited. This forfeiture is applied to offset losses, penalties, and clawbacks incurred by CloudFam as a result of the invalid traffic delivered to its advertising partners, and represents a genuine pre-estimate of damages.
14.2 Termination by Publisher
You may terminate your account at any time by contacting CloudFam support or by using the account deletion feature in your dashboard settings. Upon voluntary termination, all your hosted files will be deleted in accordance with our data retention policy within 30 days. Any outstanding valid earnings balance that meets the minimum withdrawal threshold at the time of termination request may be processed and paid out, subject to a final compliance review. Earnings below the minimum threshold at the time of voluntary account closure will be forfeited.
14.3 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUDFAM PROVIDES ITS SERVICES STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. CLOUDFAM EXPLICITLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO: ANY IMPLIED WARRANTY OF MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; ACCURACY OR COMPLETENESS OF CONTENT; TITLE AND NON-INFRINGEMENT; AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. CLOUDFAM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
14.4 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLOUDFAM SERVICES, LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF REVENUE OR EARNINGS; LOSS OF DATA OR CONTENT; LOSS OF BUSINESS OR GOODWILL; COST OF SUBSTITUTE SERVICES; OR ANY OTHER INTANGIBLE LOSSES, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF CLOUDFAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CASES, CLOUDFAM'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF VERIFIED EARNINGS CREDITED TO YOUR ACCOUNT IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100.00).
14.5 Indemnification
You agree to defend, indemnify, and hold harmless CloudFam Services, LLC, its affiliates, licensors, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: your use of and access to the platform; your violation of any provision of this Agreement; your violation of any applicable law or regulation; your violation of any third-party rights, including intellectual property or privacy rights; or any content uploaded by you to the platform.
15. Governing Law & Support
This Agreement, including all rights and obligations herein, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without giving effect to any choice-of-law or conflict-of-law provisions thereof that would require or permit the application of the laws of any other jurisdiction.
15.1 Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND GOVERNS HOW CLAIMS BETWEEN YOU AND CLOUDFAM ARE RESOLVED.
Any dispute, controversy, or claim arising out of or relating to this Agreement, the platform, or any services provided hereunder (a "Dispute") that cannot be informally resolved shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, as amended by this Agreement. The arbitration shall be conducted in the English language and shall take place in Wilmington, Delaware, or via remote/virtual hearing where available. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION WAIVER: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CLOUDFAM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Nothing in this section shall prevent either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
15.2 Informal Resolution
Before initiating formal arbitration proceedings, both parties agree to attempt to resolve any Dispute informally. The party seeking resolution must send a written notice describing the nature of the dispute and the relief sought to the other party. The parties then have thirty (30) calendar days from the date of receipt of such notice to attempt to resolve the dispute through good-faith negotiation. If the parties are unable to resolve the dispute within this period, either party may proceed to formal arbitration as described above.
15.3 Changes to These Terms
CloudFam is committed to transparency in how we evolve our policies. All historical versions of this Terms of Service document are archived and accessible upon request through support@cloudfam.io for your reference. We encourage all publishers to periodically review the current Terms and to pay attention to version number changes displayed in the page header, which indicate material updates to the document.
